1Acceptance of terms
These Terms of Service (the "Terms") govern your access to and use of the BQ tech website and all related products and services. By accessing the Site, creating an account, requesting a quote, uploading files, placing an order or otherwise using our services, you agree to be bound by these Terms, as well as our Privacy Policy, Return & Refund Policy and any other policies referenced on the Site.
If you do not agree to these Terms, you may not use the Site or our services. Placing an order through the Site constitutes your acceptance of these Terms and forms a legally binding agreement between you and BQ tech.
Throughout these Terms, "BQ tech," "we," "us" and "our" refer to Hong Kong Benqiang Circuit Limited, which acts as the Merchant of Record, the legitimate contracting party for all transactions, and the entity responsible for payment collection and refunds. The website www.pcboutlet.com is technically operated and maintained by our affiliated entity, Shenzhen Benqiang Technology Co., Ltd. By placing an order through the Site, you acknowledge and agree that your legal contract of sale is solely with the aforementioned Hong Kong entity.
2Account registration
To use certain features of the Site, you may need to register an account. You agree to:
- Provide accurate, complete and current information.
- Keep your account credentials confidential and not share them with others.
- Take responsibility for all activities that occur under your account, except where caused by our own fault or a security breach on our side.
You must notify us immediately of any unauthorised use of your account or any other security concern. We reserve the right to suspend, restrict or terminate your account if we reasonably believe there has been a breach of these Terms, inaccurate information, or a security, legal or compliance risk.
You may request deletion of your account at any time, subject to outstanding orders, payment obligations and legal or compliance retention requirements.
3Orders, quotations and customer files
Our services are based on the information, files, drawings and specifications you provide. You are responsible for ensuring that all design files, BOMs, specifications, quantities, materials, finishes, tolerances, delivery addresses and billing information are accurate, complete and suitable for their intended purpose.
Quotations. Online quotes are based on the information you submit and are subject to engineering review, file verification, manufacturing feasibility, material availability and compliance checks. We may adjust the quote, request additional information, or decline an order if the submitted files are incomplete, technically infeasible, do not match the information entered, or raise legal, compliance or manufacturing concerns.
Manufacturing partners. We may work with affiliated companies, qualified manufacturing partners, suppliers and service providers to review, produce, assemble, inspect, package and ship your order. These parties may access your order information only to the extent necessary to fulfil your order and are bound by confidentiality and data-protection obligations. They may not use your design files, product images or order information for advertising, reverse engineering, resale, customer reference or any purpose unrelated to fulfilling your order.
Cancellations. If we are unable to process or accept an order after payment has been made, we will refund the applicable amount to your original payment method where reasonably possible.
4Intellectual property and customer data
You retain ownership of all design files, drawings, specifications and other materials you submit to us. Your designs and related intellectual property remain your property.
By submitting files or data to BQ tech, you grant us a limited, non-exclusive, worldwide, royalty-free licence to use, process and review such data solely as necessary to:
- Provide quotations and process orders.
- Manufacture and deliver the ordered products.
- Perform engineering review and quality assurance.
- Provide customer support and handle returns.
- Conduct compliance and export-control review.
- Improve our internal manufacturing processes and technologies related to the services you have requested.
This licence is non-transferable and non-sublicensable, except as needed for our manufacturing partners and service providers to fulfil your order as described in Section 3. The licence terminates upon completion of the order, except where retention is required by law, for quality assurance, dispute resolution, compliance or legitimate business record-keeping.
We will not sell, publish, copy, modify or distribute your design files or use them for any purpose unrelated to your order without your prior written consent. We will not use your technical files or designs to train artificial intelligence or machine-learning models without your prior written consent.
You represent and warrant that you own or have the right to use all design files and materials you submit, and that they do not infringe the intellectual property rights or other legal rights of any third party. If any claim arises from materials you provide, you agree to indemnify us for any resulting losses.
5Trade compliance and restricted products
You agree to comply with all applicable export-control, sanctions, customs, anti-diversion and trade-compliance laws and regulations, including those of China, the United States, the European Union, the United Kingdom, the United Nations and any other applicable jurisdiction.
You may not use our services for any product, design, part, material or end use that is illegal, prohibited, weapon-related, military-restricted or subject to export-control or sanctions restrictions, including but not limited to items controlled under ITAR, EAR classifications beyond EAR99, EU Dual-Use regulations or other applicable export-control laws.
You represent and warrant that, after reasonable due diligence, neither you, your affiliates, ultimate beneficial owners, directors, senior management, nor the end users of your order are subject to applicable sanctions or trade restrictions.
You further represent and warrant that products, files or materials related to your order will not be sold, exported, re-exported, transferred, diverted or otherwise supplied, directly or indirectly, to any restricted party, restricted destination or restricted end use in violation of applicable law or our compliance policies. Restricted destinations may include, without limitation, Cuba, Iran, Syria, Sudan, North Korea, Russia, Belarus, Crimea, Donetsk, Luhansk, Armenia, Kazakhstan, Kyrgyzstan, Venezuela and any other countries, regions, persons or entities restricted under applicable laws or sanctions programs.
Restricted end uses include, without limitation, military end uses, weapons of mass destruction (nuclear, chemical or biological), missile applications, unmanned combat systems, and uses involving human rights violations.
We may request end-user statements, end-use certificates, export-control classification information, export licences, sanctions-screening details or other compliance documents. We may refuse, suspend, cancel or terminate any order or service where we reasonably believe there is a legal, sanctions, export-control, customs or compliance risk, or where you fail to cooperate with reasonable compliance review.
6Responsible sourcing and conflict minerals
BQ tech is committed to responsible sourcing. We do not knowingly use conflict minerals — including gold (Au), tantalum (Ta), tungsten (W), cobalt (Co) and tin (Sn) — sourced from conflict-affected regions or through illegally controlled supply chains.
We expect our suppliers to comply with applicable conflict-minerals regulations and responsible-sourcing standards, including the RBA Code of Conduct, and to source materials from environmentally and socially responsible suppliers, with preference given to recognised conflict-free smelters and refiners.
7Product quality and availability
We use commercially reasonable efforts to manufacture products in line with confirmed order specifications, accepted production files and applicable quality standards. However, we do not guarantee that products will meet requirements that are not expressly confirmed in the order.
Product images, colours, descriptions and technical information on the Site are provided for general reference only. Actual results may vary depending on manufacturing processes, materials, finishes, tolerances and other factors.
We may limit, suspend or discontinue any product or service, or restrict sales to certain regions or customers, where reasonably necessary for legal, compliance, operational, security or business reasons.
Returns, refunds, remakes and exchanges are handled in accordance with our Return & Refund Policy.
8Pricing and payment
Prices for our products and services may change at any time. The price shown in an online quote is based on the information you submit and becomes binding only after we confirm the order and review the submitted files where applicable.
We may adjust the price, request additional payment or cancel an order if the submitted files, specifications, materials, quantities, delivery requirements or other details differ from the information used for the quotation. Additional charges may apply, including but not limited to shipping fees, payment-processing fees, VAT, import duties, DTP service fees, customs-clearance charges, remote-area fees and storage fees.
You agree to provide current, complete and accurate billing and payment information. We may refuse, suspend or cancel orders where payment information is inaccurate, payment is declined, fraud is suspected, or compliance review is not complete.
9Shipping, customs, duties and taxes
The price is based on FOB Shenzhen. The freight, customs duties, VAT, import taxes, brokerage fees and other customs-related charges are not included in the product and your are responsibility.
Customs rules and duties vary by destination country, product type, value, weight and other factors. You are responsible for confirming applicable import requirements with your local customs authority where necessary.
We are not responsible for delays, inspections, seizures, penalties, storage fees or additional charges caused by customs authorities, inaccurate information provided by you, import restrictions, or circumstances beyond our reasonable control. Shipping terms, delivery timelines and risk transfer depend on the selected logistics method and applicable Incoterms.
10Delivery and after-sales claims
After we ship your order, you are responsible for monitoring delivery and confirming receipt within the applicable period. Unless otherwise stated:
- For express services (such as DHL, FedEx, UPS, SF and similar): the automatic confirmation period is 30 days from shipment.
- For postal, standard, air-freight, sea-freight and other methods: the automatic confirmation period is 60 days from shipment.
If you do not confirm receipt or submit a valid after-sales claim within the applicable period, the order may be automatically marked as received and completed. Automatic confirmation does not waive your right to raise valid quality, shortage, damage or non-conformity claims within the applicable warranty or after-sales period under our Return & Refund Policy.
11Website content and errors
We strive to keep information on the Site accurate and up to date, but the Site may contain typographical errors, inaccuracies, omissions or outdated information. We reserve the right to correct errors, update information, change product descriptions, revise pricing or cancel orders affected by inaccurate information, even after an order has been submitted.
We may modify, suspend or discontinue any part of the Site, tools, products or services where reasonably necessary for operational, security, legal, compliance or business reasons. We will not be liable for reasonable changes, suspensions or discontinuations, except as required by law or expressly agreed in writing.
12Third-party tools and links
We may provide access to third-party tools, links, websites, payment services, logistics providers or other services. These are operated by independent third parties and are subject to their own terms and policies. We do not control and are not responsible for third-party websites, tools, services, content, products or transactions, except to the extent required by applicable law. You should review third-party terms before using or relying on any third-party service.
13User feedback and submissions
If you submit comments, suggestions, ideas, reviews, feedback or other non-confidential materials to us, we may use them to improve our Site, products and services. This section does not apply to design files, technical data, confidential information or order-related materials, which are governed by Section 4 (Intellectual property and customer data), our Privacy Policy and any applicable NDA.
You agree that any feedback you submit will not violate third-party rights, contain unlawful, defamatory, abusive, obscene or malicious content, or contain viruses or harmful code.
14Prohibited uses
You may not use the Site or our services for any illegal, infringing, fraudulent, abusive, harmful or unauthorised purpose, or in violation of any applicable law or third-party rights. In particular, you must not:
- Upload or transmit viruses, malware, malicious code, scraping tools, automated abuse or other harmful materials.
- Interfere with, disrupt, overload or compromise the Site, our systems or any third-party systems.
- Collect or track personal information of others without their consent.
- Impersonate another person or submit false or misleading information.
- Attempt to gain unauthorised access to any part of the Site, systems, accounts or data.
- Use the Site in a way that violates our intellectual property rights or those of others.
We may suspend, restrict or terminate access to the Site or services for any prohibited use or security risk.
15Disclaimer of warranties
Except as expressly stated in writing by BQ tech, the Site, online tools, information, products and services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.
We do not guarantee that the Site or services will be uninterrupted, timely, secure, error-free, or that all information will be accurate, complete or current. Nothing in these Terms excludes or limits any warranties, rights or remedies that cannot be excluded or limited under applicable law.
16Limitation of liability
To the maximum extent permitted by applicable law, BQ tech shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, loss of revenue, loss of business, loss of data, production interruption or replacement costs, arising out of or related to your use of the Site, products or services.
To the maximum extent permitted by applicable law, our total liability for claims arising from or related to an order is limited to the amount you paid to BQ tech for that specific order.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, or breach of confidentiality obligations, or any other liability that cannot be excluded or limited under applicable law.
17Non-exclusivity
Our relationship is non-exclusive. We may provide manufacturing services to other customers, including customers with similar or competing products, provided that we do not use your confidential design files, technical data or specifications for the benefit of any third party without your prior written consent.
18Indemnification
You agree to indemnify and hold harmless BQ tech, its affiliates, officers, directors, employees, agents, suppliers, service providers and contractors from and against any losses, claims, penalties, fines, damages, liabilities and reasonable legal costs arising from your breach of these Terms, violation of applicable law, infringement of third-party rights, inaccurate information, or misuse of the Site, products or services.
19Force majeure
We shall not be liable for any delay or failure to perform our obligations under an order due to events beyond our reasonable control, including but not limited to war, riots, terrorism, acts of God, pandemics, natural disasters, embargoes, strikes, labour disputes, accidents, failures by our manufacturing partners or suppliers, or any other cause that prevents or hinders the manufacture or delivery of the products.
We may suspend performance for the duration of such an event, or cancel the affected order at our discretion, in which case we will not be liable for any resulting damages.
20Termination
These Terms remain in effect unless terminated by you or BQ tech. You may stop using the Site and services at any time, subject to outstanding orders, payment obligations and provisions that by their nature should survive termination.
We may suspend, restrict, cancel or terminate your account, order or access to the Site or services if we reasonably believe you have breached these Terms, failed to pay amounts due, provided inaccurate information, created legal or compliance risk, violated trade-compliance requirements, misused the Site, or failed to cooperate with reasonable review requests.
Termination does not affect rights, obligations or liabilities accrued before the termination date.
21Severability and entire agreement
If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
These Terms, together with our Privacy Policy, Return & Refund Policy and any other policies referenced herein, constitute the entire agreement between you and BQ tech regarding your use of the Site and services, unless a separate written agreement has been signed by both parties.
22Governing law and dispute resolution
These Terms and any services provided by BQ tech shall be governed by and construed in accordance with the laws of the jurisdiction in which the relevant BQ tech operating entity is established, unless otherwise required by applicable law.
Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the competent court or arbitration body of the jurisdiction in which the relevant BQ tech operating entity is established. The language of proceedings shall be English or Chinese, as appropriate. Any resulting judgment or arbitral award shall be final and binding.
23Changes to these Terms
We may update these Terms from time to time by posting the revised version on this page. The latest version will always be available on the Site.
Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Changes will not materially affect orders already accepted by BQ tech, unless required by law, regulation or compliance obligations, or agreed by both parties.
